Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Basereach (the “Service”), operated by Sublevel (“Basereach”, “we”, “us”, “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate information when creating an account, including a valid email address and a sender identity you are authorized to send mail from.

2. The Service

Basereach is an AI-assisted outreach tool. The Service may help you draft, schedule, and send email; manage contacts and campaigns; track replies; and integrate with third-party providers including Google (Gmail), Stripe (billing), Resend (email delivery), and Anthropic (AI inference).

The Service is provided on a per-account, non-exclusive, non-transferable, revocable basis for the duration of your subscription.

3. Acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk email that violates applicable anti-spam laws, including CAN-SPAM (US), CASL (Canada), or the GDPR / ePrivacy Directive (EU/EEA/UK)
  • Send messages that are deceptive, fraudulent, defamatory, harassing, threatening, or otherwise unlawful
  • Send content that infringes intellectual property rights or violates the privacy or publicity rights of any person
  • Send phishing, malware, or any payload intended to deceive or harm recipients
  • Send mail from a sender identity you are not authorized to use, or impersonate any person or organization
  • Attempt to circumvent rate limits, abuse safeguards, or authentication systems
  • Reverse engineer, scrape, or otherwise misuse the Service outside of its intended interfaces
  • Use the Service to generate or distribute spam, regardless of the technology used to send it

You are responsible for the content of every email you send through the Service. Drafts produced by the Basereach AI agent are suggestions only; nothing leaves your account until you explicitly send it.

4. Anti-spam compliance

You are solely responsible for ensuring that every email you send through the Service complies with the laws of the jurisdictions in which you operate and in which your recipients are located. At minimum, every commercial email sent through Basereach must:

  • Accurately identify the sender and not use deceptive subject lines or header information
  • Include a clear and conspicuous way for the recipient to opt out of future messages
  • Honor opt-out requests promptly
  • Be sent only to recipients with whom you have a legitimate reason to communicate

We reserve the right to suspend or terminate accounts that generate spam complaints, bounce rates, or abuse signals that threaten the deliverability or reputation of the Service.

5. Subscription and billing

Paid plans are billed in advance on a recurring basis through Stripe. By subscribing you authorize us to charge your payment method for the recurring fee until you cancel.

You can cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods except where required by law.

We may change pricing with at least 30 days’ notice. Price changes take effect at your next renewal.

6. Your content

You retain all rights to the content you submit to the Service (contacts, drafts, emails, settings, attachments). You grant us a limited license to host, process, and transmit that content solely to operate the Service on your behalf.

You represent and warrant that you have all rights necessary to submit that content and to send the emails you choose to send through the Service.

The Service integrates with third-party providers. Your use of those integrations is also subject to the terms and policies of the respective provider, including:

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for conduct that we reasonably believe violates these Terms or is harmful to the Service, our users, or third parties (including email recipients).

Upon termination your right to use the Service ends. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and dispute resolution) will survive.

10. Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC EMAIL WILL BE DELIVERED OR RECEIVED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASEREACH AND SUBLEVEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Basereach and Sublevel from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your breach of these Terms or applicable law.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page, and the “Last updated” date will be revised. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The exclusive venue for any dispute arising out of or related to these Terms is the state and federal courts located in Delaware.
